Proxy Voting

Because Client’s Account will generally be invested in exchange-traded funds (ETFs), proxy statements will typically be infrequent. For the convenience of Client, by default, the Advisor receives proxies. Client hereby authorizes Custodian to forward proxy soliciting materials, annual reports, and other related issuer materials, normally sent to you, to your Advisor and to allow Advisor to vote Proxies on your behalf. Advisor is not required to vote for any proxies or respond to any corporate actions or elective actions with respect to securities held in Client’s Account.
